Business & Government Sales Policy

1. PURPOSE
This Business & Government Sales Policy (“Policy”) establishes the terms governing commercial, institutional, and government-related transactions conducted with Blackwell Group Inc. (“BGI,” “Company,” “we,” “our,” or “us”).
BGI supplies non-lethal self-defense products, surveillance equipment, and security-related solutions for lawful use in professional, organizational, and government environments.
2. ELIGIBLE PURCHASERS
BGI may engage in transactions with:
- Private sector businesses and corporations
- Non-profit organizations and institutions
- Educational and healthcare entities
- Federal, state, and local government agencies
- Authorized contractors and subcontractors
All purchasers must be legally authorized to acquire, possess, and use the products requested.
3. NATURE OF BUSINESS RELATIONSHIP
Engagement with BGI, including submission of inquiries or RFQs, does not:
- Establish a contractual relationship
- Grant vendor approval or preferred status
- Create any obligation for BGI to provide goods or services
All relationships are subject to formal acceptance and written agreement where applicable.
4. PRODUCT USE & LEGAL COMPLIANCE
All products are sold strictly for lawful use.
Purchasers are solely responsible for:
- Compliance with all applicable laws and regulations
- Verification of product legality within their jurisdiction
- Implementation of internal controls and policies
- Ensuring proper training and supervision of personnel
BGI does not provide legal advice and assumes no responsibility for regulatory interpretation or misuse.
5. BULK ORDERS & COMMERCIAL TERMS
BGI may offer:
- Volume-based pricing adjustments
- Custom product configurations or bundles
- Phased or scheduled fulfillment
- Procurement coordination support
All bulk transactions are subject to:
- Product availability
- Supplier constraints
- Order acceptance and confirmation
BGI does not guarantee pricing or availability until formally confirmed.
6. GOVERNMENT PROCUREMENT & CONTRACTING
BGI may support procurement activities involving:
- Federal, state, and local agencies
- Prime and subcontracting opportunities
- Commercial Off-The-Shelf (COTS) supply
- Simplified acquisition procedures
All government transactions are subject to:
- Applicable procurement laws and regulations, including the Federal Acquisition Regulation (FAR)
- Agency-specific policies and requirements
- Contract-specific terms and conditions
Nothing in this Policy constitutes certification, registration, or approval as a government contractor.
7. REQUEST FOR QUOTE (RFQ) REFERENCES
Requests for Quote are governed separately under the:
Request for Quote (RFQ) Policy & Business/Government Inquiries
All RFQs are:
- Non-binding
- Subject to internal review
- Not a guarantee of pricing, availability, or engagement
8. RESTRICTED PRODUCTS & JURISDICTIONAL LIMITATIONS
Certain products may be restricted based on jurisdiction.
Purchasers are responsible for:
- Reviewing all product and shipping restrictions
- Ensuring eligibility to receive restricted items
- Compliance with domestic and international laws
BGI reserves the right to:
- Modify, delay, or cancel orders
- Restrict shipment based on compliance risk
9. TRAINING & OPERATIONAL RESPONSIBILITY
Organizations are solely responsible for ensuring that personnel:
- Are properly trained in safe and lawful product use
- Understand operational limitations
- Comply with applicable safety and use-of-force protocols
BGI does not certify, train, or validate user competency.
10. VERIFICATION & RISK REVIEW
BGI reserves the right to:
- Verify purchaser identity and organizational legitimacy
- Request supporting documentation
- Conduct compliance and risk assessments
Transactions may be denied or restricted based on findings.
11. LIMITATION OF LIABILITY
To the fullest extent permitted by law, BGI shall not be liable for:
- Misuse or improper deployment of products
- Failure to comply with applicable laws or regulations
- Operational, tactical, or deployment decisions
- Injury, damages, or losses arising from product use
- Delays, supply disruptions, or procurement changes
All products are provided “as-is” for lawful use only.
12. ORDER ACCEPTANCE & RIGHT TO REFUSE SERVICE
BGI reserves the right, at its sole discretion, to:
- Refuse or cancel any order
- Limit quantities or restrict transactions
- Deny service based on legal, compliance, or operational concerns
- Require additional verification for business or government transactions
13. COMPLIANCE-FIRST OPERATING STANDARD
BGI operates under a compliance-first framework.
We reserve the right to prioritize:
- Legal and regulatory compliance
- Risk mitigation
- Operational feasibility
over transaction completion.
14. POLICY UPDATES
BGI reserves the right to modify or update this Policy at any time.
Changes become effective immediately upon posting.
