1. PURPOSE
This Request for Quote (RFQ) Policy & Business/Government Inquiries Statement (“Policy”) establishes the terms governing the submission, evaluation, response, and processing of RFQs submitted to Blackwell Group Inc. (“BGI,” “Company,” “we,” “our,” or “us”).
BGI provides non-lethal defense equipment, surveillance systems, and security-related products for lawful commercial, institutional, and government use.
2. NATURE OF RFQ SUBMISSIONS
All RFQ submissions to BGI are:
- Non-binding
- For informational and evaluation purposes only
- Subject to internal review, approval, and feasibility assessment
Submission of an RFQ does not:
- Create any contractual obligation
- Guarantee response, pricing, or availability
- Establish any form of business relationship
3. SCOPE OF RFQ SERVICES
BGI may accept RFQs for:
- Bulk procurement and volume purchasing
- Commercial and institutional supply agreements
- Government and subcontracting opportunities
- Commercial Off-The-Shelf (COTS) products
- Custom configurations, bundles, or system integration support
- Multi-site, phased, or project-based deployments
BGI reserves the right to determine whether a request falls within its operational scope.
4. SUBMISSION REQUIREMENTS
To enable proper evaluation, RFQ submissions should include:
- Organization name and authorized point of contact
- Contact information (email and phone number)
- Detailed description of requested products or services
- Estimated quantities and technical specifications
- Delivery location(s) and logistical requirements
- Requested delivery or project timeline
- Budget parameters (if available)
- Applicable compliance, regulatory, or certification requirements
BGI reserves the right to:
- Decline incomplete or insufficient submissions
- Request additional documentation or clarification
5. QUOTATION TERMS & CONDITIONS
All quotations issued by BGI:
- Are non-binding and subject to change
- Do not constitute an offer or contract
- Are valid only for the stated time period
- Are based on current supplier pricing, availability, and operational conditions
Quotations may be modified due to:
- Supplier cost changes
- Inventory fluctuations
- Regulatory requirements
- Shipping and logistical considerations
6. PRICING & AVAILABILITY DISCLAIMER
BGI does not guarantee:
- Product availability at the time of RFQ submission or quotation
- Fixed pricing beyond the validity period of the quote
- Continuity of supply for any specific product
All pricing is contingent upon:
- Supplier conditions
- Order specifications
- Market dynamics
7. ORDER ACCEPTANCE & CONTRACT FORMATION
No binding agreement exists unless and until:
- The requesting party formally accepts a quotation
- BGI issues written order confirmation or executes a formal agreement
- Payment terms or contractual requirements are satisfied
BGI reserves the right to:
- Accept or reject any RFQ or order
- Modify proposed solutions based on feasibility or compliance
- Require formal agreements for large-scale or government transactions
8. COMPLIANCE & REGULATORY RESPONSIBILITY
The requesting entity is solely responsible for:
- Ensuring compliance with all applicable laws and regulations
- Verifying legality of products within their jurisdiction
- Adhering to all use, storage, training, and deployment requirements
- Ensuring personnel are properly qualified and trained
BGI assumes no responsibility for regulatory compliance beyond product supply.
9. GOVERNMENT & INSTITUTIONAL PROCUREMENT
BGI may support procurement activities involving:
- Federal, state, and local government agencies
- Prime and subcontracting opportunities
- Simplified acquisition procedures
- Commercial item acquisitions
All government-related transactions are subject to:
- Applicable procurement laws and regulations, including but not limited to the Federal Acquisition Regulation (FAR)
- Agency-specific acquisition policies
- Contract-specific terms and conditions
Nothing in this Policy constitutes registration, certification, or approval as a government contractor.
10. CONFIDENTIALITY & INFORMATION SUBMISSION
BGI will make reasonable efforts to handle RFQ submissions with discretion; however:
- No confidential or fiduciary relationship is established by submission
- BGI is not obligated to protect unsolicited information
- Proprietary or sensitive information should not be submitted without a formal written agreement (e.g., NDA)
11. VERIFICATION & RISK REVIEW
BGI reserves the right to:
- Conduct due diligence on requesting entities
- Verify organizational legitimacy and intended use
- Decline or restrict engagement based on risk, compliance, or operational concerns
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law, BGI shall not be liable for:
- Errors or omissions in RFQ responses
- Delays in response or fulfillment
- Changes in pricing, availability, or specifications
- Reliance on preliminary or non-binding quotations
All RFQ responses are provided “as-is” without warranties of any kind.
13. RIGHT TO REFUSE SERVICE
BGI reserves the right, at its sole discretion, to:
- Decline any RFQ or inquiry
- Refuse service to any individual or entity
- Restrict transactions involving high-risk, non-compliant, or prohibited use cases
14. COMPLIANCE-FIRST OPERATING STANDARD
BGI operates under a compliance-first framework.
We reserve the right to prioritize:
- Legal and regulatory adherence
- Risk mitigation
- Operational feasibility
over transaction completion.
15. POLICY UPDATES
BGI reserves the right to modify or update this Policy at any time.
Changes become effective immediately upon posting.
